Please read these Terms and Conditions ("Terms") carefully before using the Clara's Kitchen website (the "Site") or placing an order with us. By accessing the Site or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

These Terms should be read together with our Privacy Policy, which explains how we collect and use your personal data.

1. Who We Are

Clara's Kitchen is a family-owned packaged food brand producing grab-and-go items, sold both directly to consumers and through wholesale/trade partners. References to "we," "us," or "our" mean Clara's Kitchen; "you" means the person or business using the Site or placing an order.

2. Use of the Site

You may use this Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any way that violates applicable local, state, national, or international law

  • Attempt to gain unauthorized access to any part of the Site, other accounts, or computer systems

  • Use any automated system (bots, scrapers, etc.) to access the Site without our prior written permission

  • Interfere with or disrupt the Site or servers/networks connected to the Site

We reserve the right to restrict or terminate your access to the Site at our discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

3. Intellectual Property

All content on this Site — including text, recipes, product names, descriptions, photographs, graphics, logos, and the Clara's Kitchen name and branding — is owned by or licensed to Clara's Kitchen and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on this Site without our prior written consent.

4. Product Orders — Retail

When you place a retail order through the Site:

  • All orders are subject to acceptance and product availability. We reserve the right to refuse or cancel any order for reasons including, but not limited to, product availability, errors in pricing or product information, or suspected fraud.

  • Prices are listed in U.S. dollars and are subject to change without notice. Applicable taxes and shipping fees will be added at checkout where applicable.

  • Payment must be received in full prior to order fulfillment unless otherwise agreed in writing.

5. Product Orders — Wholesale / Trade Partners

For wholesale and trade customers:

  • Wholesale pricing, minimum order quantities, and payment terms are governed by the specific agreement or order confirmation issued to you, which takes precedence over these general Terms in the event of conflict.

  • Wholesale accounts may be required to complete a credit application or provide applicable resale/tax documentation prior to account approval.

  • We reserve the right to set, modify, or discontinue wholesale account terms, pricing tiers, or product availability at our discretion, with reasonable notice to active accounts.

6. Shipping, Cold Chain, and Delivery

Many Clara's Kitchen products are shipped frozen and are intended to move through a freeze-thaw-refrigerate distribution process:

  • We package and ship products using methods designed to preserve product integrity and food safety during transit.

  • Once a shipment is delivered, responsibility for proper storage (freezing, refrigeration, or thawing as directed on the product packaging) transfers to the recipient. We are not responsible for product quality issues that result from improper storage, handling, or delay in pickup after delivery.

  • Delivery timeframes provided on the Site or at checkout are estimates only. We are not liable for delays caused by carriers, weather, or other circumstances outside our reasonable control.

  • It is the customer's responsibility to ensure someone is available to receive and properly store temperature-sensitive shipments promptly upon delivery.

7. Food Safety, Allergens, and Product Disclaimers

  • Always refer to the ingredient list and allergen information printed on the product packaging, as it is the most current and accurate source of this information. Information on the Site is provided as a general guide and may not reflect formulation changes.

  • Clara's Kitchen products are produced in a facility that may also process common allergens (such as wheat, soy, dairy, egg, or tree nuts). If you or someone you are purchasing for has a food allergy or sensitivity, please review packaging carefully before consumption.

  • Products must be stored, thawed, and/or prepared according to the instructions on the packaging. We are not responsible for adverse outcomes resulting from failure to follow storage or preparation instructions, or from consumption past any printed use-by date.

  • Nothing on this Site constitutes medical or dietary advice. Consult a qualified professional with questions about your specific dietary needs.

8. Returns, Refunds, and Order Issues

  • Because our products are perishable and temperature-sensitive, we are unable to accept returns of opened or thawed product.

  • If you receive a damaged shipment, an incorrect order, or product that arrived outside safe temperature conditions, please contact us at sales@claraskitchen.co within 48 hours of delivery with your order number and photos where applicable, and we will work with you on a resolution (replacement, credit, or refund at our discretion).

  • Wholesale order discrepancies should be reported per the terms of your wholesale account agreement.

9. Limitation of Liability

To the fullest extent permitted by law, Clara's Kitchen and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or our products, including but not limited to loss of profits, data, or goodwill, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising from your purchase of a product shall not exceed the amount you paid for that product.

Nothing in these Terms limits any liability that cannot be limited under applicable law, including liability for death or personal injury caused by our negligence or willful misconduct.

10. Indemnification

You agree to indemnify and hold harmless Clara's Kitchen, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms, misuse of the Site, or improper handling or storage of products after delivery.

11. Third-Party Links

The Site may contain links to third-party websites that are not owned or controlled by Clara's Kitchen. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites. We encourage you to review the terms and privacy policy of any third-party site you visit.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in California, and you consent to the jurisdiction of those courts.

13. Changes to These Terms

We may revise these Terms from time to time. The most current version will always be posted on this page with an updated "Last updated" date. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
